Terms and conditions

1. General provisions
1.1. These Rules of Purchase and Sale of Goods (hereinafter referred to as the Rules) are the legal document binding on the parties, which establishes the rights, obligations and responsibilities of the Buyer and the Seller when purchasing goods by e-shop.
1.2. The seller reserves the right to change, amend or supplement the rules at any time in accordance with the requirements established by law. The buyer is informed by e-mail. When the buyer purchases the rules in force at the time of placing the order apply to the electronic store.
1.3. The right to buy in the e-shop has:
1.3.1. individual persons, i.e. persons who have reached the age of majority and whose capacity is not restricted by court order;
1.3.2. minors between the ages of 14 and 18 with the consent of their parents or guardians, unless they are self-employed;
1.3.3. legal entities;
1.3.4. authorized representatives of all the above persons.
1.4. By approving the rules, the seller also guarantees that in accordance with 1.3. the Buyer has the right to purchase the goods by e-shop.
1.5. The contract between the Buyer and the Seller is considered concluded from the moment when the Buyer has formed a shopping cart in the e-shop, indicated the delivery address, selected the payment method and read the Seller's rules, click the "Confirm order" button (see item 5 "Ordering goods, prices, payment procedure, deadlines").
1.6. Each contract concluded between the Buyer and the Seller is stored by e-shop.

2. Protection of personal data.
2.1 Order Goods by Email. The Customer can register (by creating an Account) and log in to the Account by entering his/her email address and password or by using his/her Google account.
2.2 By ordering the Goods in the ways set out in the clauses of the Terms and Conditions of Sale and Purchase, the Customer shall use the relevant E-shop and the corresponding E-shop. The Customer shall provide the Personal Information necessary for the proper execution of the order of the Goods in the information fields provided in the Online Shop: name, surname, telephone number and e-mail address. By placing an order for Goods and expressing his/her agreement that "I accept the Terms and Conditions" (or a similar indication expressing the Customer's will), the Customer unconditionally confirms that he/she has the right to purchase the Goods on the E-Store. Shop and to enter into a Contract for the purchase thereof.
2.3 In all cases, before confirming the order for the Goods in accordance with the procedure set out in this section of the Terms and Conditions of Sale of Goods, the Customer shall be obliged to familiarize himself with the version of the Terms and Conditions documents in force at the time of placing the order, and to express his consent thereto. The Buyer shall confirm his/her acquaintance with and acceptance of the Rules documents in the manner and under the conditions set out in the Website's terms of use. An order for Goods may be placed and received for processing by the Seller only if the Buyer has read and accepted the Terms and Conditions. In all other cases where the Buyer does not agree with the Terms and Conditions or any part thereof, the Buyer shall not be entitled to order the Goods on E-Commerce. Shop.

2.4 In order to enter into a Contract for the purchase of the Goods, the Customer must make an E-Commerce purchase order via Email. The Customer must complete the technical steps set out in the Online Shop and follow the steps set out in the E-shop. The Customer shall, by following the notices and/or links provided in the Online Shop, place an order for the Goods with the Seller:
2.4.1. select the desired product, which is available on the Online Shop. 4.4.1. to select the desired Product to be offered in the Shop and to provide additional data (address, company name, company code, etc.);
2.4.2. by ticking the checkboxes and accepting the "Terms and Conditions" and the "Supplementary Service Agreement", as appropriate, you are allowed to proceed with the purchase step. Once the Customer clicks on the icon marked "Order and Pay", the Customer will be redirected to another window on the Website, where he/she can choose the most convenient e-banking method.
2.5 The Customer confirms the order by clicking on the icon marked "Order and pay". Until this point, the Customer shall have the right to modify the Goods order by changing the selected Goods and/or the Goods data, delivery data and the method of payment for the Goods.
2.6 After the Customer has performed the actions referred to in Clause 2.4 of the Terms and Conditions of Sale and Purchase of Goods and confirmed the order in accordance with the procedure set out in Clause 2.5 above, the Customer's will, in accordance with the provisions of the Terms and Conditions of Sale and Purchase of Goods, shall be expressed to conclude a Contract with the Seller for the purchase of the Goods by e-mail. 2.7 Upon confirmation of receipt of the Goods Order placed by the Customer, the Seller shall send an automatically generated e-mail message to the e-mail address provided by the Customer, containing all the essential details of the Goods Order.

2.8 Upon receipt of an order for Goods placed by you for execution, the Seller shall immediately check whether the Goods specified in the order are in the Seller's warehouse (in terms of their nature, quantity etc.). If the Seller is unable to deliver all or part of the ordered Goods to the Customer (Buyer) in accordance with the procedure set out in these Terms and Conditions and/or the Rules, the Customer will be informed of the respective status of the Goods order and will make a decision on its execution (partial execution or cancellation of the entire Goods order). In any event, the Seller reserves the right to cancel such order within 3 (three) working days of the Customer's confirmed submission of the Goods Order, including for the circumstances set out in Clause 2.11. The Seller will use its best endeavours to inform the Customer of the status of the Goods order as soon as possible.

2.9 Having read, accepted and agreed to be bound by the Terms and Conditions, the Customer confirms that it has no objection to the Terms and Conditions not being made available to the Customer separately in writing (in paper form) unless otherwise agreed by the parties. In all cases, the Buyer may, in order to view, download and/or print the Terms and Conditions, send them from the e-mail address provided in the Contract Agreement. 2.10. The Seller shall not be liable for damages resulting from unauthorised use of the Account by third parties. In the event that any other person accesses the Account and places an order for Goods using the Account without complying with the requirements of the Terms and Conditions, such Goods shall be deemed to have been ordered and/or purchased by the Buyer.
2.11. The Seller reserves the right to fulfil only those confirmed orders for Goods which correctly and accurately provide the details of the order for the Goods and other data necessary for the purchase and/or delivery of the Goods (including the delivery address, telephone number, email address, address, telephone number, telephone number, email address, telephone number, email address, telephone number, email address, telephone number, email address and other data necessary for the delivery of the Goods). 2.12. By accepting these Terms and Conditions of Sale of Goods, the Customer agrees to the processing of the Customer's Personal Information referred to in Clause 2.2 in relation to the sale of Goods and Services by the Customer's email address. 2.2 The Customer shall provide the Customer with the information and data concerning the processing of goods and services in the e-shop (e-commerce) and for direct marketing purposes. The Seller confirms that the Personal Information provided by the Buyer in connection with the ordering of the Goods and the conclusion of the Contract will be used for the purpose of the sale and purchase of the Goods in the E-Shop. 2.13. The Customer, by consenting to the processing of his/her Personal Information for the sale of Goods and Services by the Seller's Email address, shall be deemed to have consented to the processing of his/her Personal Information. The Customer agrees to the use of the Seller's email address and telephone number for the purpose of the Seller's electronic commerce, and to the sending of the information notifications necessary to complete the order of the Goods to the email address and telephone number provided by the Customer.

3. Buyer's rights

3.1 The Buyer has the right to purchase the Goods by E-Commerce. Shop in these Terms and Conditions and in accordance with the legislation of the Republic of Lithuania.
3.2 The Buyer shall have the right to withdraw from the contract for the purchase and sale of goods concluded with the Seller in the E-Shop by notifying the Seller in writing no later than within 48 hours after the placing of the order.
3.3 The Buyer shall have the right to a full refund of all monies paid for the goods within 10 days, to the account provided by the Buyer, upon written notice to the Seller no later than 48 hours after the placing of the order.

4. Buyer's obligations

4.1 The Buyer undertakes to pay the price of the Goods and their delivery, as well as any other payments (if specified at the time of conclusion of the Contract) and to accept the Goods ordered.
4.2 The Buyer shall make payment for the order no later than 3 days after placing the order. If payment is not made within this period, the Seller shall be entitled to treat the Buyer as having repudiated the contract of sale and purchase. The goods selected by the Buyer shall only be reserved and the Seller shall only proceed with the performance of the contract of sale once the Seller has received payment for the goods selected.
4.3 If the data provided by the Buyer in the registration form changes before the delivery of the ordered goods to the Buyer, the Buyer must update it immediately and inform the Seller of the changes.
4.4 If the Buyer notices an error in the order or wishes to cancel the order, the Buyer must inform the Seller immediately.

4.5. Shop, undertakes to comply with these Terms and Conditions, other terms and conditions specified in the online store, and not to violate the requirements established by the legislation of the Republic of Lithuania.
4.6 The Buyer undertakes not to pass on his/her login data to third parties, and in case of loss of such data, to immediately inform the Seller thereof.

5. Seller's rights

5.1 If the Buyer attempts to damage the E-Commerce website, the Seller shall be liable to the Buyer. Shop's stability and security or violates its obligations, the Seller has the right to immediately and without prior notice restrict or suspend its access to the E-shop. Shop and, in exceptional cases, to inform the law enforcement authorities of the Republic of Lithuania. In such a case, the Seller shall not be liable for any losses incurred by the Buyer in this respect.
5.2 The Seller has the right to unilaterally amend these Terms and Conditions by publishing them on the E-shop. Shop. The amendments shall take effect from the moment of publication for all transactions entered into after the publication.
5.3 In the event of serious and unforeseeable circumstances, the Seller may temporarily or permanently suspend the operation of the Online Shop without prior notice to the Buyer.
5.4 The Seller has the right to cancel the Buyer's order without prior notice if the Buyer fails to pay for the goods by bank transfer within 3 days of placing the order.

6. Seller's obligations

6.1 The Seller undertakes to use its best endeavours to enable the Buyer to make proper use of the services provided by the E-Store.

6.2 The Seller undertakes to respect the Buyer's right to privacy of his/her personal information, i.e. to process the personal data provided by the Buyer only in accordance with the procedure set out in Section 9 of the Terms and Conditions and the legislation of the Republic of Lithuania.
6.3 If the Seller, due to important circumstances, is unable to provide the Buyer with the ordered goods (service), the Seller undertakes to offer an analogous or, as far as possible, similar goods (service), and if the Buyer refuses - the Seller undertakes to refund the money paid to the Buyer within 10 working days from the day of the execution of the Buyer's bank order for goods.
6.4 If the Buyer refuses the goods (service) ordered and notifies the Seller in writing within 48 hours of the order being placed, the Seller undertakes to reimburse to the Buyer the money paid for the goods within 10 working days to the account specified by the Buyer.
6.5 The Seller undertakes to comply with the other requirements set out in these Conditions.
 

7. Product quality, guarantees

7.1 The Seller guarantees the quality of the Goods.
7.2 The characteristics of each item sold by the Seller are set out in the E-Commerce Service. The description of each product in the Shop.
7.3 The amount paid for the Goods, where this is a service provided, shall not be refunded to the Buyer unless the circumstances described in 6.3 and 6.4 apply.
 

8. Terms of service

8.1 The terms of service are set out in the E-shop for each item.
8.2 The Goods shall be delivered to the Buyer (the Services shall be provided) at the e-mail address specified during registration.

9. Buyer and Seller Liability

9.1 The Buyer is fully responsible for the accuracy of the data provided by him. In the meantime, the Seller shall be entitled to claim from the Buyer direct damages resulting from the inaccuracy or inaccuracy of the data provided in the registration form.

9.2 The parties shall be liable for the breach of the contract of purchase and sale concluded by means of the online shop in accordance with the procedure established by the legislation of the Republic of Lithuania.
9.3 The Buyer and the Seller agree that the confirmation of the Buyer's actions in the e-shop by the login data (identification code) has the legal force of an electronic signature (i.e. it has the same legal force as a signature in written documents and is admissible as evidence in court). The Buyer shall keep his/her login data to the online shop secure and shall not disclose them to third parties, shall ensure that the data are known and used only by him/her and shall not transfer or otherwise make the data accessible or available to other persons.

9.4. Kilus įtarimui dėl prisijungimo prie elektroninės parduotuvės duomenų pažeidimo, Pirkėjas privalo nedelsiant apie tai informuoti Pardavėją. Visi veiksmai, atlikti naudojantis Pirkėjo atpažinimo kodu, laikomi atliktais Pirkėjo, ir Pirkėjas prisiima visą atsakomybę už tokių veiksmų pasekmes.

9.5. Pardavėjas neatsako už kitų įmonių tinklalapiuose pateiktą informaciją, net jei Pirkėjas patenka į šiuos tinklalapius per Pardavėjo elektroninėje parduotuvėje esančias nuorodas. Pardavėjas nėra atsakingas už ten esančią informaciją ar vykdomą veiklą, jeigu tų tinklapių neprižiūri, nekontroliuoja ir jiems neatstovauja.

9.6.  Pardavėjas atleidžiamas nuo bet kokios atsakomybės tais atvejais, kai nuostoliai kyla dėl to, jog Pirkėjas, neatsižvelgdamas į Pardavėjo rekomendacijas ir Pirkėjo įsipareigojimus, nesusipažino su šiomis Taisyklėmis, nors tokia galimybė jam buvo suteikta.

10. Processing of personal data
10.1 The Seller shall have the right to collect and process the personal data provided by the Buyer to the Seller and, where necessary, to disclose it to third parties to the extent necessary for the fulfilment of the order, for the processing of the data, or for the Seller's business planning and analysis. The Seller is also entitled to use the Buyer's personal data for the purposes of advertising and providing information to the Buyer within the scope of the Seller's activities. The Buyer's data may only be used for sending information or for other activities of the online shop with the Buyer's consent.
10.2 By consenting to the processing of his/her data for the purpose of selling goods and services on the Seller's E-shop, the Buyer shall be deemed to have consented to the processing of his/her data. He/she also consents to the sending of information messages to the e-mail address and telephone number provided by him/her for the purpose of processing the order of goods.

10.3 By confirming the order, the Customer confirms that he/she is aware of his/her right to have access to his/her personal data processed by the Seller and the way in which it is processed, to request the rectification or destruction of his/her personal data or the suspension of the processing of his/her personal data where the data is processed in breach of the law, to object to the processing of his/her personal data for any of the purposes.
10.4 If the Buyer does not provide personal data or does not consent to the processing of personal data for the purpose of online trading, the contract of sale and purchase between the Buyer and the Seller may not be concluded and executed.

1.  Prices of goods, payment procedures

11.1. Prices for Goods E-Commerce The prices of goods in the Shop and in the order form shall be quoted in euros, including VAT. The prices in the E-shop are set out in the price list in the E-shop. Shop reserves the right to change the prices of goods in the event of changes in tax rates.
11.2 Pursuant to Article 6.313(7) of the Civil Code of the Republic of Lithuania, the Buyer and the Seller agree that after the Buyer has placed an order for goods and the Seller has confirmed it, the price of the goods may change, taking into account objective indicators affecting the price of the goods, such as an increase in the cost of the goods, a technical error of information systems, additional costs related to the sale of goods to the Buyer. If the Buyer does not agree to purchase the Goods at the new price, either party shall have the right to terminate the contract for the sale of the Goods upon notice to the other party. The Parties agree that no damages shall be payable in connection with the termination of the sale and purchase agreement in accordance with this clause.

11.4 The Buyer must make payment no later than 3 days after the order is placed. Failure to make payment within this period shall entitle the Seller to treat the Buyer as having repudiated the contract of sale and purchase. The Seller shall only proceed with the sale and purchase contract once the Seller has received notification from the Buyer's bank that payment has been made for the selected goods.
11.5 The purpose of the payment must include the Buyer's order number.
11.6 The Buyer's bank from which the Buyer makes payment for the Goods is entirely responsible for the security of the data, as all monetary transactions take place within the Buyer's bank's e-banking system.
11.7 By accepting the Terms and Conditions, the Buyer agrees that, at his request, the documents for the purchase of the Goods, i.e. the VAT invoices, shall be submitted to him electronically at the e-mail address provided by the Buyer. VAT invoices shall be submitted to the Buyer no later than 1-2 working days after the goods have been handed over to him.

12.  Marketing and mailing information

12.1 The Seller may, at its sole discretion, initiate various promotions on the E-Store.
12.2 The Seller shall be entitled to unilaterally, without prior notice, modify the terms and conditions of the promotions as well as to cancel them. Any amendment or cancellation of the terms and conditions of the promotion shall take effect from the date of its publication on the E-shop. Shop.
12.3 The Seller shall send all notifications to the e-mail address provided by the Buyer in the registration form.
12.4 The Buyer shall send all notifications and questions to the contact details provided by the Seller in the "Contact" section of the E-Store.
12.5 The Seller shall not be liable if the Buyer does not receive the information or confirmation messages sent due to disruptions in the internet connection or in the networks of the email service providers.

13.  Final provisions

13.1 These Terms and Conditions are made in accordance with the legislation of the Republic of Lithuania and do not restrict the rights of the Buyer (consumer) established by the legislation of the Republic of Lithuania.

13.2 If the Buyer does not agree with the new version of the Terms and Conditions, the Buyer shall always have the right to withdraw from the Terms and Conditions by informing the Seller in writing, provided that the Buyer shall no longer use the services of the E-Shop. If the Buyer continues to use the services provided by the Online Shop after the addition or modification of the Terms and Conditions, the Buyer shall be deemed to accept the new version.

13.3 All disputes arising from the performance of these Terms and Conditions or in connection with the contract of sale and purchase between the Buyer and the Seller shall be settled by negotiation between the parties by telephone, e-mail or registered mail, or through the European Commission's electronic dispute resolution portal. In the event of failure to reach an agreement, disputes shall be settled in accordance with the procedures laid down by the legislation of the Republic of Lithuania.
